# RenoFiz - Terms of Service **Last Updated:** October 18, 2025 Welcome to RenoFiz. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and **MindFutura Technologies Inc.** ("we," "us," or "our") governing your use of the RenoFiz website ([www.renofiz.com]), mobile application, and services (collectively, the "Platform"). **PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.** Your use of the Platform is also governed by our **Privacy Policy**, which is incorporated here by reference. ## 1. The RenoFiz Platform RenoFiz is a platform designed to help homeowners ("Homeowners") diagnose and document home maintenance issues using our proprietary AI diagnostic tool. It also serves as a marketplace to connect Homeowners with qualified, third-party home service professionals ("Contractors") to obtain quotes and book repair and maintenance services. **MindFutura Technologies Inc. does not perform these services itself.** Our role is to provide the technology platform that facilitates this connection. The actual contract for services is directly between the Homeowner and the Contractor. We are not a party to that agreement. ## 2. The AI Diagnostic Tool - IMPORTANT DISCLAIMERS Our AI diagnostic tool is a powerful feature designed to provide preliminary insights. You must understand and accept the following limitations: * **For Informational Purposes Only:** The reports, severity scores, and work plans generated by our AI ("AI Report") are provided for informational and triage purposes only. * **Not a Substitute for Professional Advice:** The AI Report is **NOT** a substitute for a professional, in-person inspection by a qualified and licensed expert. It may contain errors or omissions and should not be solely relied upon for making critical repair decisions. * **High-Risk Systems:** For any issues related to life-safety systems, including but not limited to **gas lines, major electrical systems, structural integrity, or potential environmental hazards (like asbestos or mold)**, you must bypass our tool and contact a licensed professional or emergency services immediately. * **No Liability:** We expressly disclaim all liability for any damages, losses, or injuries arising from your reliance on the AI Report. You are solely responsible for any actions you take, or do not take, based on its output. ## 3. User Accounts * **Eligibility:** To use the Platform, you must be at least 18 years old and a resident of Canada. * **Account Registration:** You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. * **Account Security:** You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. ## 4. Terms for Homeowners * **Service Tickets:** By submitting photos, videos, audio, and text ("Diagnostic Data") to create a Service Ticket, you are requesting to be connected with Contractors. * **Selecting a Contractor:** We will share your Service Ticket with qualified Contractors. You are responsible for reviewing their profiles, quotes, and selecting the Contractor you wish to hire. * **Payments:** You agree to pay for the services you book through the Platform. All payments are processed through our third-party payment processor, Stripe, via a secure escrow system. Funds are held in escrow and released to the Contractor only after you confirm the job has been completed to your satisfaction, or as otherwise specified in the booking agreement. * **Disputes with Contractors:** Any disputes regarding the quality, timing, or legality of the services provided by a Contractor must be resolved directly with the Contractor. RenoFiz may, at its sole discretion, offer dispute resolution assistance, but is not obligated to do so. ## 5. Terms for Contractors * **Independent Contractor Status:** You acknowledge and agree that you are an independent contractor, not an employee, agent, or partner of MindFutura Technologies Inc. You have no authority to bind us, and you are responsible for your own taxes, insurance, and business expenses. * **Vetting and Verification:** You agree to undergo our vetting process and provide accurate and current information regarding your business licenses, insurance coverage (including commercial general liability), and any other credentials we may require. You must maintain these credentials in good standing to remain on the Platform. * **Service Standards:** You agree to perform all services in a professional, timely, and workmanlike manner, in accordance with industry standards and all applicable laws. * **Fees and Payouts:** You agree to pay the specified commission fee ("Service Fee") to us for each job completed through the Platform. Payouts will be issued from the escrow account via Stripe according to our payment schedule, after deducting the applicable Service Fee. ## 6. Intellectual Property * **Our Platform:** We own all rights, title, and interest in and to the Platform, including the AI diagnostic tool, AI Reports, and all related software and technology. * **Your Content:** You retain ownership of the original Diagnostic Data (your photos, videos, etc.) you upload. However, by submitting it, you grant MindFutura Technologies Inc. a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, modify, distribute, and create derivative works from your Diagnostic Data for the purposes of operating, providing, and **improving the Platform and our AI models.** ## 7. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, MINDUTURA TECHNOLOGIES INC. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF THE PLATFORM; (B) THE CONDUCT OR SERVICES OF ANY HOMEOWNER OR CONTRACTOR; OR (C) ANY RELIANCE PLACED ON INFORMATION OBTAINED FROM THE PLATFORM, INCLUDING THE AI REPORT. ## 8. Indemnification You agree to defend, indemnify, and hold harmless MindFutura Technologies Inc., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Platform or your violation of these Terms. ## 9. Governing Law and Dispute Resolution These Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration. ## 10. Changes to These Terms We may amend these Terms at any time by posting the revised version on our website. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the terms. ## 11.
